Quite normally, read my article here:
http://home.graffiti...B/USBstick.html

Basically, easiest working method is the following:
1) make an image of your stick
2) Mount it in a Qemu virtual machine together with an image of Freedos floppy (booting the machine from the latter)
3) Use normally Freedos fdisk, format and sys to setup the HD image, copying to it all files you need
4) Check if it works by rebooting Qemu to it (i.e. without the floppy)
5) If everything works well, close Qemu and copy back the image to the stick

Suggested progs for making/restoring the image:
GUI:
Roadkil's Disk Image

Batch/scriptable:
DSFOK package's DSFO/DSFI

Freedos, at least version 0.9 is a bit "picky" when booting off USB stick, you might need to make some adjustement to disk geometry if it does not boot, but usually it does with no problems.
