I've tried both TFTPD32 and TFTPD64 service edition.
Box: Intel DQ67SW w/ an I7-2600 running 2 nics. One on-board 82579LM, and a PCI RealTek GBE. Both have a static IP of 10.0.10.50 and 10.0.10.51 respectivly. Both in to the same switch. Two nics so the 10.0.10.51 can be for Hyper-V only (and I can PXE boot from Hyper-V).
The DHCP is done with OpenWRT Backfire 10.03 with a DNSMasq option:

Running Server 08 R2 x64 with all the latest greatest patches.
I'm moving from a server 2003 RTM with one nic that works great.
If I reboot with both nics, TFTPD doesn't see the traffic in the log. If I disable the second nic (Realtek) and restart TFTPD service everything works nice. After this, I re-enable the second nic and TFTPD gets an error "TIMEOUT waiting for ack block#2" and block #1 moves at a snails pace (100Kb/s).
The binding option in TFTPD32 doesn't seem to help.
Firewall is off and nothing to stop traffic as this is an internal box.
Any hairbrain ideas welcome
