I won't even ask if you have a recent backup of System files

If you have it is MUCH better, otherwise you'll have to go through the "repair" routine:
http://support.micro...kb/822705/en-us
Some additional info:
AND reinstall most if not all of your software (usually files in \repair are very old, dated to the first install of the OS).The most common files Windows has a problem loading either the System or the Software file. If your Windows folder is on an NTFS drive you will need the have the Recovery Console already installed, or a second operating system that can see NTFS files. If your Windows Folder is on a FAT32 you can use a Windows 98 startup diskette.
After you have accessed the Windows (usually \Windows or \WINNT) folder you need to navigate to the Windows\ System32\ Config folder. Rename the corrupted file to .old, example: software.old. The actual Registry file name does not have a file extension, it is simply named Software.
You might have a Software.bak file in that folder, you can try renaming it to Software and try rebooting.
Now navigate back to Windows\Repair, here you will find a Registry file with the same name as the one you need to repair, In this example I am going to use the file Software. Copy the file Windows\ Repair\ Software to Windows\ System32\ Config\ Software.
Reboot, and Windows should load.
Since your C: drive is FAT32 you will able to do the steps above form a normal Win98 boot diskette.
You can also try using this:

Post if anything is not clear, before doing anything you are not sure about.

It might help to boot up a live XP/2003 version and try to fix the problem by running System Restore. That is if Sytem Restore was not taken out.
I would recommend converting drives to NTFS.

I would recommend converting drives to NTFS.
IMHO, NEVER convert a system drive to NTFS.
If you NEED NTFS and it's features, it is always better to start from a newly formatted drive.
Does Windows 2000 have System Restore? It might help to boot up a live XP/2003 version and try to fix the problem by running System Restore. That is if Sytem Restore was not taken out.
Naaah , it came with the [sarcasm] better and improved [/sarcasm] Windows XP.....
